Personal Import Agency Agreement
US2AU LLC Version 1.0 — March 2026
Parties
Agent: US2AU LLC ("we", "us", "the Agent"), a limited liability company incorporated in the United States, operating the BuzzBallz Australia import facilitation platform.
Principal: You, the customer, as identified in your registered account ("you", "the Principal")
Purpose of This Agreement
This Agreement appoints US2AU LLC and its nominated Australian logistics contractor as your authorised agents for the purposes of sourcing, importing, and delivering BuzzBallz products from US retailers to your Australian address. It is a legally binding document. Please read it carefully before accepting.
No purchase will be made on your behalf until you have accepted this Agreement.
Part 1 — Agency Appointment
1.1 Appointment of US2AU as Buying Agent
You appoint US2AU LLC as your authorised buying agent to purchase the specific products you have selected from a licensed US retail outlet on your behalf.
US2AU acts as your agent only — not as a principal. It purchases the goods in your name and on your behalf. You are the buyer. US2AU is executing your instruction. US2AU does not purchase, own, or on-sell the products itself.
1.2 Appointment of Vosy Logistics as Customs Agent (Australia)
You appoint Vosy Logistics, an independent Australian logistics contractor engaged by US2AU on your behalf, as your authorised customs agent under section 33 of the Customs Act 1901 (Cth) for the purposes of importing your goods into Australia.
As your s.33 customs agent, Vosy Logistics is authorised to:
- Lodge import declarations with the Australian Border Force on your behalf
- Act as importer of record on your behalf for the purposes of your shipment
- Pay excise-equivalent duty and GST on your behalf, using funds collected from you for that purpose
- Take all steps reasonably necessary to clear your goods through Australian customs
- Receive your goods at its Australian logistics facility for the purposes of last-mile delivery coordination
1.3 Vosy Logistics as Sub-Agent
Vosy Logistics acts solely as a sub-agent operating on your instruction, as communicated through US2AU. It exercises no independent commercial discretion over your goods. All goods arriving at Vosy Logistics' facility are pre-allocated to your specific order before departure from the United States. Vosy Logistics performs mechanical handling and transfer only.
1.4 Scope of Authority
The authority granted under this Agreement is limited to the specific acts described in clauses 1.1 and 1.2. Neither US2AU nor Vosy Logistics has authority to:
- Vary the products you have selected
- Purchase quantities other than those specified in your confirmed order
- Allocate or redirect your goods to any other person
- Make any commercial decisions on your behalf beyond execution of your stated instructions
Part 2 — Ownership and Title
2.1 Title Vests at Point of US Purchase
Ownership of the goods passes to you at the moment of purchase from the US retailer. Title does not pass through US2AU or Vosy Logistics. Neither entity owns the goods at any point.
2.2 Evidence of Ownership
The US retail receipt for your order is your evidence of ownership. US2AU will retain a copy and provide it to you with your delivery confirmation.
2.3 Goods in Transit
From the point of US purchase through to delivery at your Australian address, the goods are your property. Vosy Logistics handles your goods in transit only — as a logistics sub-agent operating on your instruction. It exercises no discretion over allocation, distribution, or any commercial decision relating to your goods.
2.4 No Sale Occurs in Australia
No sale of alcohol takes place in Australia under this Agreement. The commercial transaction occurs entirely in the United States at the point of US retail purchase. Vosy Logistics' role is limited to logistics functions — physical handling, customs clearance as your agent, and last-mile delivery coordination.
Part 3 — Financial Arrangements
3.1 Product Cost
The cost of your goods is the actual retail price paid to the US retailer. This is passed through to you at exact cost with zero markup. The US retail receipt verifies this amount.
3.2 Duties and Taxes
As the owner of the goods, you are personally liable for all applicable Australian government charges, including:
- Excise-equivalent customs duty — calculated on the volume of alcohol and ABV of each product, at the rate set by the Australian Border Force (currently AUD $107.99 per litre of pure alcohol, CPI-indexed and adjusted twice annually)
- GST — calculated on the dutiable value of your goods
These charges are collected from you and remitted in full to the relevant authority by Vosy Logistics acting as your agent. Neither US2AU nor Vosy Logistics retains any portion of duties or taxes.
3.3 Freight
International freight costs are passed through to you at the actual cost charged by the nominated freight partner. No markup is applied.
3.4 Service Fee
US2AU charges a service fee for sourcing coordination, import agency arrangement, and delivery coordination. This fee is itemised separately on your invoice and is US2AU's only source of revenue in connection with your order.
3.5 Transparency
Every invoice issued under this Agreement itemises each component separately — product cost, freight, duty, GST, and service fee — with the recipient of each amount identified. No amounts are bundled or obscured.
Part 4 — Your Declarations
By accepting this Agreement, you declare that:
- You are 18 years of age or older
- The goods you are importing are for your personal consumption only
- You will not on-sell, commercially distribute, or supply the imported goods to any other person
- You understand that you are the owner of the goods from the point of US purchase
- You understand that you are personally liable for all applicable duties and taxes as the beneficial owner of the imported goods
- You are an Australian resident and the delivery address you have provided is your genuine residential or business address
- All information you have provided in connection with this Agreement is true and accurate
Part 5 — Obligations of US2AU
5.1 US2AU agrees to:
- Execute your purchase instruction promptly upon confirmation of your order and receipt of payment
- Purchase only the exact products and quantities specified in your confirmed order — no more, no less
- Retain your US retail receipt and make it available to you
- Engage Vosy Logistics to act as your customs agent and logistics handler in Australia
- Ensure all shipping documentation correctly identifies you as the owner of the goods and Vosy Logistics as your s.33 customs agent
- Provide you with tracking information and delivery updates
- Itemise all charges on your invoice with full transparency
Part 6 — Obligations of Vosy Logistics
6.1 As your appointed sub-agent, Vosy Logistics agrees to:
- Act as importer of record on your behalf
- Lodge accurate import declarations with the Australian Border Force
- Collect and remit excise-equivalent duty and GST on your behalf in full
- Handle your goods with reasonable care
- Arrange delivery to your nominated Australian address via a licensed courier
- Require adult signature and identity verification (18+) on delivery
Part 7 — Termination
7.1 Before US Purchase
You may cancel your import request at any time before US2AU has executed the US retail purchase on your behalf. Contact us promptly if you wish to cancel.
7.2 After US Purchase
Once the US purchase has been executed, the goods are yours and the agency appointment cannot be terminated in respect of that order. US2AU and Vosy Logistics will continue to act on your instruction to complete the import and delivery.
Part 8 — Liability
8.1
US2AU and Vosy Logistics act as your agents. Their liability to you is limited to the faithful execution of your instructions as described in this Agreement.
8.2
Neither US2AU nor Vosy Logistics is liable for delays, loss, or damage caused by US retailers, freight providers, customs authorities, or circumstances beyond their reasonable control.
8.3
You are responsible for ensuring that your import complies with all applicable Australian laws and regulations, including any applicable personal importation limits.
8.4
Nothing in this Agreement excludes any rights you may have under the Australian Consumer Law that cannot be excluded by contract.
Part 9 — Governing Law
This Agreement is governed by the laws of Australia. The parties agree to submit to the non-exclusive jurisdiction of the Australian courts in respect of any dispute arising under this Agreement.
Nothing in this clause limits any rights you may have under the Australian Consumer Law, which applies as a matter of mandatory federal law regardless of any governing law provision.
Part 10 — Acceptance
This Agreement takes effect when you tick the acceptance checkbox at checkout. Your acceptance is recorded with a timestamp and your account details and is available to you on request.
By accepting, you confirm you have read, understood, and agree to all terms of this Agreement.
